Terms of Service — Aged Science LLC

These Terms contain a binding arbitration agreement and a class action waiver in Section 13. Read that section carefully — it affects how disputes between you and Aged Science LLC are resolved.

1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding agreement between you and Aged Science LLC, a Texas limited liability company, filing number 806026211, with its principal office at 1888 Brittmoore Road, Houston, TX 77043 (“Aged Science,” “we,” “us,” or “our”).

By creating an account, accessing agedscience.com, or using the Swappr application (together, the “Service”), you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and legally able to enter contracts. If you use the Service on behalf of a business, you represent that you are authorised to bind that business, and “you” means that business.

2. Description of the Service

Swappr is a marketplace platform that lets users list, buy, sell, and trade sneakers, streetwear, and related items. We provide the technology, escrow orchestration, verification workflow, and dispute process that support those transactions.

We are not a party to any transaction between users. We do not own, inspect, take possession of, authenticate, or ship the items listed on the Service. Contracts of sale or exchange are formed directly between buyer and seller. We are not an auctioneer, broker, shipping carrier, or escrow bank, and we do not guarantee that any user will complete a transaction.

We may change, suspend, or discontinue any part of the Service. We aim to give reasonable notice of material changes, but the Service is provided on an “as is” and “as available” basis and we do not guarantee uninterrupted availability.

3. User Accounts

Provide accurate, current, and complete registration information and keep it updated.
Keep your credentials confidential. You are responsible for all activity on your account, and you must tell us immediately at infra@swappr.biz if you suspect unauthorised access.
Hold one personal account. Additional accounts require our written permission, and accounts may not be sold, rented, or transferred.
Complete identity and payout verification before selling or receiving funds. Verification is performed by our payment processor and may require a government identification document.

We may refuse registration, and we may suspend or restrict an account where we reasonably believe these Terms have been breached, where verification fails, or where activity presents a fraud, chargeback, or legal risk.

4. Listings and Seller Responsibilities

By listing an item, you represent and warrant that:

You own the item outright, or are otherwise authorised to sell or trade it, and it is free of liens and claims.
The item is authentic and not counterfeit, replica, unauthorised, or a factory variant sold as genuine.
Your description, photographs, size, condition grade, and disclosure of flaws are accurate and your own. Stock imagery may not be used to represent a used item.
The sale complies with all applicable laws, including tax obligations.
You will ship within 3 business days of an order being confirmed, using a trackable service, and upload the tracking number to the Service.
You will not attempt to move the transaction off-platform, solicit direct payment, or share contact details to avoid the escrow process.

You are responsible for the items you sell and the statements you make about them. We may remove any listing, without notice, that we reasonably believe breaches these Terms or applicable law.

5. Prohibited Items and Conduct

The following may not be listed, sold, or traded on the Service:

Counterfeit, replica, or unauthorised reproductions of any brand.
Stolen goods, or goods obtained through fraud or unauthorised access.
Items you do not physically possess at the time of listing.
Weapons, ammunition, explosives, and regulated weapon accessories.
Drugs, controlled substances, drug paraphernalia, tobacco, vapes, and alcohol.
Hazardous, flammable, or restricted materials that cannot lawfully be shipped.
Live animals, animal products from protected species, and human remains.
Currency, financial instruments, gift cards, tickets, and digital account credentials.
Prescription medical devices, medications, and supplements.
Items bearing hate symbols, or content promoting violence, harassment, or discrimination.
Adult material, and anything unlawful in the buyer’s or seller’s jurisdiction.

You also agree not to:

Manipulate prices, place fake bids or offers, or transact with yourself.
Post fake reviews or otherwise misrepresent sales history or verification status.
Harass, threaten, defraud, or discriminate against another user.
Scrape, reverse engineer, probe, overload, or interfere with the Service or its security features.
Use bots or automation to gain an unfair advantage on listings or purchases.

Breaching this section may result in listing removal, forfeiture of pending payouts to cover losses, permanent account termination, and referral to law enforcement.

6. Payments and Escrow

Payments are processed by Stripe. By transacting you also agree to the applicable Stripe terms. We do not store full payment card details.

The buyer pays at checkout, and the funds are held in escrow.
The seller is notified and ships within 3 business days with tracking.
The buyer has 3 days after confirmed delivery to inspect the item and accept it or open a dispute.
Funds are released to the seller on acceptance, or automatically once the inspection window closes with no dispute opened.
Payouts settle to the seller’s verified account, typically within 2 business days.

Escrowed funds are held by our payment processor, not by Aged Science, and are not held in trust by us or insured by us. We may place a hold on funds where we reasonably suspect fraud, a policy breach, or an unresolved dispute, and we may reverse a payout following a chargeback. You authorise us to instruct the release, hold, refund, or reversal of escrowed funds in accordance with these Terms.

7. Trades

A trade lets two users exchange items directly, with optional cash on either side to balance value. Both users must accept the proposed terms before a trade is created.

Each side must ship within 3 business days of the trade being confirmed, using a trackable service.
Any cash component is held in escrow and released only once both items are delivered and accepted.
Each side has 3 days after delivery to inspect and accept, or to open a dispute.
If one side fails to ship within 7 days, the trade is cancelled, any cash is refunded, and the non-shipping user may be charged the return shipping cost of the item already sent and may have their account restricted.

All listing warranties in Section 4 apply equally to items offered in a trade.

8. Disputes Between Users

If an item arrives significantly not as described, damaged, counterfeit, or does not arrive at all, open a dispute in the app within 3 days of delivery, or within 30 days of the order date if the item never arrives.

The buyer submits evidence — photographs, packaging, tracking, and a description of the problem.
The seller has 3 days to respond with their own evidence.
We review both submissions and issue a decision within 7 business days, and may request further evidence.
Outcomes may include full refund, partial refund, return for refund, or release of funds to the seller.

Our decision determines how escrowed funds are handled on the platform. It is not a legal judgment and does not limit rights either user may have outside the Service. Repeated disputes may lead to account restrictions.

9. Returns

Because listings are individual, second-hand, and often limited items, sales are final once the buyer accepts the item or the inspection window closes. Buyer’s remorse, sizing errors, and changes of mind are not grounds for a return.

Returns are available where a dispute is resolved in the buyer’s favour, including:

The item is counterfeit or materially not as described.
The wrong item or wrong size was shipped.
Undisclosed damage or defects.

Where a return is approved, the buyer must ship the item back within 3 days using trackable shipping and in the condition received. Return shipping is paid by the seller where the seller is at fault. The refund is issued once the returned item is delivered and confirmed. Sellers may offer more generous return terms in their listings, and those terms then apply.

10. Fees

Seller fees — Swappr charges no seller commission on completed sales. Sellers keep the full sale price, less any payment processing charged by the payment processor.
Buyer fees — where a buyer processing fee applies, it is shown clearly at checkout before payment is authorised.
Shipping — paid as stated in the listing. Import duties and taxes are the buyer’s responsibility.
Chargebacks and reversals — where a chargeback is upheld against a seller, the disputed amount and any processor fee may be recovered from that seller’s balance or future payouts.

All fees are stated in United States dollars. We may introduce or change fees on at least 30 days’ notice. New fees never apply retroactively to transactions already completed.

11. Intellectual Property

The Service, including the Aged Science and Swappr names, logos, software, design, and content, is owned by Aged Science LLC and protected by intellectual property law. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. All rights not granted are reserved.

You keep ownership of the content you upload. By uploading, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt, and display that content for the purpose of operating, promoting, and improving the Service. This licence ends when you delete the content, except where it is retained in transaction or dispute records.

Third-party brand names and trademarks that appear in listings belong to their respective owners and are used to identify items only. Copyright complaints follow the DMCA procedure in the Legal Center.

12. Disclaimers and Limitation of Liability

To the fullest extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any item listed is authentic, lawful, or as described.

To the fullest extent permitted by law, Aged Science LLC, its members, officers, and agents are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or related to the Service.

Our total aggregate liability for any claim relating to the Service is limited to the greater of (a) the total fees you paid us in the 6 months before the event giving rise to the claim, or (b) US$100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the exclusions and limitations above apply only to the extent permitted, and nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or death or personal injury caused by negligence.

You agree to indemnify and hold harmless Aged Science LLC against claims, damages, and reasonable legal costs arising from your use of the Service, the items you list or ship, your breach of these Terms, or your violation of any law or third-party right.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act with respect to arbitration.

13.1 Informal Resolution First

Before filing a claim, contact us at infra@swappr.biz with a written description of the dispute and the relief sought. Both parties will attempt to resolve it informally for 30 days before starting formal proceedings.

13.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration takes place in Houston, Texas, before a single arbitrator, in English. Judgment on the award may be entered in any court of competent jurisdiction. Where the amount in dispute allows, the arbitration may be conducted on documents alone or by video.

13.3 Class Action Waiver

Claims must be brought individually. You and Aged Science each waive the right to bring or participate in a class, collective, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any representative proceeding. If this waiver is held unenforceable as to a particular claim, that claim proceeds in court and the remaining claims stay in arbitration.

13.4 Exceptions and Opt-Out

Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or prevent unauthorised access to the Service.

You may opt out of arbitration by emailing infra@swappr.biz with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms. If arbitration does not apply, the state and federal courts located in Harris County, Texas have exclusive jurisdiction, and both parties consent to venue there.

14. Changes to These Terms

We may update these Terms as the Service develops or the law changes. The “Last Updated” date at the top of this page reflects the current version.

For material changes we give at least 30 days’ notice by email and in-app notice. Continuing to use the Service after the effective date means you accept the updated Terms. If you do not accept them, stop using the Service and close your account before the effective date. Changes never apply retroactively to transactions already completed.

15. Termination

You may close your account at any time from the app or by emailing infra@swappr.biz. Closure does not cancel obligations on open orders, trades, disputes, or payouts, which continue until resolved.

We may suspend or terminate your access immediately, with or without notice, where we reasonably believe you have breached these Terms, listed prohibited or counterfeit items, presented a fraud or chargeback risk, or where required by law. Where the circumstances allow, we tell you why and how to appeal.

On termination, your licence to use the Service ends. Sections 4, 5, 10, 11, 12, 13, and 15, and any other provision that by its nature should survive, remain in effect. Data handling after closure follows the Privacy Policy.

These Terms, together with the Privacy Policy, are the entire agreement between you and Aged Science LLC regarding the Service. If any provision is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it.
